These Terms & Conditions outline the agreement between Gozen ("Seller") and Buyer for the supply of hamper packages. By entering into this agreement, both parties agree to comply with the outlined terms.
- Gozen will provide exclusive home decor hamper packages, including curated items as per agreed specifications.
- Packaging and branding will adhere to Buyer's guidelines where applicable.
- Customization requests must be communicated and approved in advance.
- Orders must be placed in writing, specifying the required quantity and delivery timelines.
- All orders must be placed through a pre-order system, according to supplier availability and requirements.
- Payments must be made according to agreed terms, with full or partial prepayment as determined by both parties.
- Late payments may result in delayed shipments or contract suspension.
- Pricing will be based on order volume, material costs, and market conditions.
- Bulk orders may be eligible for special pricing or discounts, subject to negotiation.
- Any changes in pricing will be communicated with prior notice.
- Gozen will ensure timely delivery based on agreed schedules.
- Shipping costs, logistics providers, and responsibilities will be agreed upon before order confirmation.
- Any damages or discrepancies must be reported within 7 days of delivery.
- Returns are accepted for defective, damaged, or incorrect products only.
- Claims must be submitted within the return window and include proof of damage.
- Approved returns will be replaced or refunded as per the agreed resolution.
- Both parties agree to maintain confidentiality regarding product designs, pricing, and business strategies.
- All intellectual property related to Gozen’s products remains the property of Gozen.
- Unauthorized reproduction or distribution of Gozen’s designs is prohibited.
- Both parties agree to comply with local trade laws, labor standards, and fair business practices.
- Any breach of ethical standards may result in termination of the partnership.
- In case of disputes, both parties will attempt to resolve them through mutual discussion.
- If unresolved, mediation or legal arbitration may be pursued as necessary.
- Either party may terminate this agreement with prior written notice.
Gozen reserves the right to amend these terms with prior notice. Continued business engagement with Gozen constitutes acceptance of the updated terms.
